Candidate Agent Terms of Service

Overview

DocCatalyst connects Candidate Agents and Agencies with healthcare employers seeking providers. When you submit candidates, you confirm you have permission to represent them and share their information.
DocCatalyst provides services on an "as-is" and "as-available" basis. We do not guarantee any specific outcomes, including candidate placements or employer hires.

Definitions

Candidate Agent (CA): An individual submitting candidates on the platform.
Agency: An organization that manages Candidate Agents on the platform.
Employer: A healthcare organization posting jobs on DocCatalyst.
Job Agent (JA): A recruiter or third party posting jobs on behalf of an Employer.
Name Clear: Submitting a candidate for a specific job and receiving approval.
Presentation: The formal candidate submission using DocCatalyst’s tools.
Platform: The services, website, tools, and systems operated by DocCatalyst.

Your Responsibilities

By using DocCatalyst, you confirm:

You have the provider’s permission to share their information.
You will comply with all laws related to data privacy and employment.
You’ll keep your contact and payment info up to date.
You are solely responsible for all information you submit.
You are responsible for maintaining the security of your account. Notify us immediately of unauthorized use.
Agencies are responsible for ensuring all their Candidate Agents follow these Terms.
You’ll check a box affirming this when you register and with each Presentation submission.
DocCatalyst may, but is not obligated to, verify any information you submit.

Name Clear & Exclusivity

Once your Name Clear is approved, you get 12 months of exclusive rights to represent the candidate for that specific job.
If you don’t complete a Presentation within 5 days, you lose exclusivity.
Exclusivity is only for the specific job, not other roles with the same Employer.

Commissions

Commissions are displayed in the job listing.
You earn commission when your candidate signs a contract and starts their first day of work.
DocCatalyst pays commissions net 15 days after we receive payment from the Employer.
We may withhold or reduce commission if:
We aren’t paid by the Employer or JA.
You breach these Terms.
You fail to provide a valid address or other approved means by which DocCatalyst can pay you after 1 year from the date the commission was earned.

No commissions are owed if the placement does not meet these criteria. We reserve the right to modify or discontinue commission programs at any time.

Platform Rules

You agree not to:

Submit fake or unauthorized candidates.
Circumvent DocCatalyst to contact Employers or JAs directly.
Share confidential info, including:
Commission details
Employer and JA contacts
Job sourcing info
Presentation tools or templates
Misrepresent candidates or your relationship to them.
Interfere with the platform’s operation.
All platform data is confidential and belongs to DocCatalyst. Do not copy, reverse-engineer, or distribute our materials.

DocCatalyst may monitor activity on the platform to ensure compliance.

Account Security

You are responsible for safeguarding your login credentials and any activity under your account. If you suspect unauthorized use, contact us immediately at support@doccatalyst.com.
DocCatalyst is not responsible for losses arising from your failure to secure your account.

Modifications to the Platform and Terms

We may update the platform, modify features, or change these Terms at any time. Changes will be effective upon posting. Continued use of DocCatalyst constitutes acceptance of the updated Terms.

Third-Party Services

DocCatalyst may include links or integrations with third-party services. We do not control and are not responsible for third-party content, policies, or services.

Data Ownership & License

You retain ownership of the candidate data you submit. However, you grant DocCatalyst a license to use, store, process, and share this data as necessary to provide platform services.
DocCatalyst will treat all candidate data as confidential in accordance with these Terms.

Indemnification

You agree to indemnify and hold DocCatalyst harmless from any claims, damages, or expenses arising out of:

Your use of the platform.
Your breach of these Terms.
Claims that information you submitted violates the rights of others.

Disclaimer of Warranties

DocCatalyst provides its services "as is" and "as available" without warranties of any kind. We do not guarantee:

Candidate placement.
Employer hiring decisions.
Platform availability or error-free operation.

Use the platform at your own risk.

Limitation of Liability

Our liability is limited to the amount of commission owed (if any) under the disputed transaction. We are not liable for indirect, incidental, or consequential damages.

Force Majeure

We are not responsible for delays or failures caused by events beyond our control, including natural disasters, labor disputes, or technical failures.

Termination

We can terminate your access at any time, for any reason. If you breach these Terms, you may lose any pending Name Clear rights, and commissions may be withheld.

Upon termination, provisions of these Terms that should reasonably survive termination will remain in effect, including confidentiality and dispute resolution.

Disputes & Governing Law

These Terms are governed by Florida law. Any disputes will be handled exclusively in the courts of Seminole County, Florida.
